Al-Hossam Legal is proud to announce its role as the sole legal counsel in the merger by way of amalgamation between Boubyan Petrochemical Company K.S.C.P. (BPC) and Educational Holding Group K.S.C.P. (EDU), two renowned public companies.
National Investment Company K.S.C.P. served as the transaction manager and advisor throughout this process.
Following the merger, the combined total assets of BPC, as the merging entity, are estimated to be US$1.9 billion. EDU’s shareholders are now trading under the unified ticker symbol ‘BPCC’ on the Boursa Kuwait.
This merger, uniquely structured between a parent and its subsidiary, presented distinct legal complexities, particularly in safeguarding the rights of minority shareholders.
Our expert legal team, led by Managing Partner Hossam Abdullah and significantly assisted by Senior Associate Mohamed Fathy, adeptly handled a variety of challenging legal issues. These included ensuring legal compliance concerning bank debts, safeguarding minority shareholder rights, adhering to anti-trust laws, securing all necessary regulatory clearances, and resolving complex employment and shareholder matters.
Al-Hossam Legal takes immense pride in its pivotal role in the vast majority of mergers and acquisitions (M&A) and other capital market transactions in Kuwait.
